Central finding. TJGC's audited annual report identifies substantial doubt about its ability to continue as a going concern. Its April 2026 financing subsequently added cash, but does not by itself demonstrate that recurring operations have become self-funding. The company's announced move into AI-related hardware is an execution thesis, not yet established operating performance in the audited FY2026 results.

1. Business and financial performance

TJGC is a British Virgin Islands holding company with Hong Kong operating activities historically focused on advertising and marketing, including gaming-related campaigns. The FY2026 Form 20-F reports revenue of HK$28.72 million, versus HK$30.47 million in FY2025. Offline advertising and web-banner revenue declined by about 20.5%; online advertising increased modestly. The business was loss-making in both years, with FY2026 net loss of approximately HK$23.5 million versus HK$26.8 million in FY2025. The narrower loss does not erase the fact that losses remained large relative to revenue. Source: FY2026 Form 20-F.

2. Liquidity and going concern

At 31 March 2026, reported cash was approximately HK$2.6 million, compared with HK$23.9 million one year earlier. The company reported approximately HK$15.6 million in bank and other borrowings, including approximately HK$9.3 million due within a year, and positive working capital of approximately HK$1.8 million. The independent auditor included a going-concern emphasis of matter without modifying the audit opinion. That is not a finding of insolvency, but it is a serious disclosed uncertainty about the company's ability to sustain normal operations without successful management actions or financing. 3. Equity financing and dilution

On 16 April 2026, TJGC closed an offering of 15 million ordinary shares at US$0.40 per share, generating US$6.0 million gross and approximately US$5.44 million net proceeds. The Form 20-F reports a Nasdaq closing price of US$0.9399 on 14 April, making the offering price approximately 57.4% lower than that reference close; the comparison is not a calculation of subsequent investor returns. The issuance materially increased the equity base and diluted pre-offering ownership. Because a 1-for-3 reverse split followed, share counts across dates must be normalized before comparisons. 4. Nasdaq listing and trading events

TJGC disclosed receipt of a Nasdaq minimum-bid-price deficiency notice dated 26 March 2026. Separately, Nasdaq halted trading on 15 May 2026 under code T12 while seeking information about recent trading activity and the April offering. The company reported that it responded to the inquiries and that Nasdaq advised it had no further questions at that time; trading was expected to resume on 3 June 2026. The existence of the halt warrants scrutiny, but it does not establish wrongdoing or a securities-law violation. A 1-for-3 reverse stock split was also announced in May 2026. These are material capital-market events that should not be overlooked in evaluating liquidity and listing risk. Minimum bid notice; Trading resumption filing.

5. Announced diversification and buyback

In September 2026, TJGC announced a new subsidiary initiative involving sourcing, trading and assembly of high-performance PC and data-center components. This represents a material departure from its historical advertising business; investors should seek evidence of customer orders, margins, working capital requirements and realized revenue before treating the new activity as proven. On 24 September 2026, the board authorized a share repurchase program of up to US$2 million. Authorization is not a commitment to repurchase any shares, and the filing does not itself prove purchases occurred. The authorization should be considered alongside the company's earlier going-concern disclosure and financing needs, without assuming the cash position was unchanged after April's capital raise. Business initiative announcement; Buyback Form 6-K.

6. Evidence ledger

IssueEstablished from filingsNot established

Nasdaq haltT12 halt and information requestsThat misconduct was found

7. Research conclusion

The filing record presents a company with declining annual revenue, recurring material losses, a sharp reduction in cash before its April financing, and an express going-concern uncertainty. A heavily discounted equity raise and subsequent reverse split indicate meaningful financing and capital-structure pressures. The Nasdaq trading halt and information requests add a distinct market-structure risk, though no adverse finding is inferred from those events alone. Recent diversification and repurchase announcements offer possible paths for change but are not substitutes for audited execution evidence. On the reviewed record, the most defensible conclusion is elevated fundamental and financing risk, with substantial uncertainty surrounding the success of the business transition.

Documented filing analysis: Announced repurchase authorization versus executed buybacks

On September 24, 2026, TJGC’s board approved a share repurchase program for up to $2 million of Class A ordinary shares. The company expressly stated that the authorization does not require it to buy any specific amount and may be modified or discontinued.

The authorization is not evidence that $2 million of cash has been spent or that shares have been retired. Executed repurchases, if any, require a later transaction or reporting disclosure.
