PUBLIC FILINGS REVIEW · AQMS

Aqua Metals, Inc.

A filing-based review of operating performance, liquidity, equity financing, material corporate developments and documented capital-market events.

Research edition: 13 October 2026 · Independent, non-sponsored research · No investment rating or price target

Central finding. In its June 30, 2026 Form 10-Q, Aqua Metals stated that existing capital resources were insufficient to sustain operations for the following twelve months and that substantial doubt existed about its ability to continue as a going concern. Pilot progress and technical capability do not by themselves establish commercial viability. A first full-scale facility requires capital, permitting, feedstock, customer demand and acceptable unit economics. The going-concern disclosure is management’s assessment of liquidity risk, not a prediction of inevitable failure. Additional financing or partnerships could change the outlook but cannot be assumed.

Supplemental financial analysis — June 2026 filing

Balance-sheet liquidity. Aqua Metals reported cash and cash equivalents of $4.744 million at June 30, 2026, down from $10.810 million at December 31, 2025. The $6.066 million decrease equals approximately 56.1% of the opening cash balance. This change is a balance-sheet movement, not a measure of operating cash burn: the cash-flow statement must be used to distinguish operating, investing and financing uses.

Working-capital coverage. Current assets were $6.875 million against current liabilities of $2.828 million, implying $4.047 million of positive working capital and a 2.43× current ratio at June 30, 2026. A positive current ratio should not be mistaken for a sufficient operating runway because receivables, inventory and non-cash items cannot necessarily finance near-term losses.

Balance-sheet contraction. Total assets declined to $12.622 million from $19.706 million at December 31, 2025, a decrease of approximately 36.0%. Current liabilities also fell from $4.428 million to $2.828 million. The key finding is that liability reduction did not prevent a substantial decline in cash and total assets.

Equity and trading denominator. The company reported 3,563,531 common shares outstanding as of July 24, 2026. Per-share comparisons must adjust for the August 2025 reverse split, and subsequent financing issuance may change this denominator. An ATM authorization or equity-line commitment should not be reported as proceeds until sales have occurred.

Analyst assessment. The reported balance sheet shows positive working capital but a sharply reduced cash cushion. In combination with management’s going-concern language, this makes the timing, net proceeds and dilution of new financing central to assessing the equity. The filing does not by itself establish the identity of buyers of stock sold into the public market.
